The Principality of Andorra is a landlocked microstate in the eastern Pyrenees, bordered by France and Spain. In determining the category of jurisdiction by the OECD countries, Andorra was included in the "gray area" of jurisdictions that had assumed obligations to adopt tax standards approved at the international level, but had not yet sufficiently implemented them. In addition, the Principality of Andorra is blacklisted as an offshore state by the EU.
The basis of Andorran corporate legislation is the Spanish civil law. The activities of commercial companies are regulated by the Corporations Act of 1983, the Financial Systems Act of 1993, the Foreign Investment Act of 2008 and other official documents.
