Register of Beneficiaries of Ireland
On March 2, 2019, a legislative act (Statutory Instrument No. 110 of 2019, hereinafter referred to as SI 110) was adopted in Ireland, according to which a central register of beneficial owners of Irish companies was established in this jurisdiction.
Through SI 110, Ireland has implemented into its national legislation the requirements of 4 and 5 of the EU Directives on the Prevention of the Use of the Financial System for the Purposes of Money Laundering or the Financing of Terrorism (Directive 2015/849 / EC and Directive 2018/843/EC) on the establishment of a register of beneficial owners of legal entities registered in Ireland.
Individuals are recognized as beneficial owners in Ireland:
- Those who directly or indirectly own (through other legal entities) more than 25% of the shares, shares or voting rights of an Irish company
- In the absence of such persons or if there are sufficient grounds for doubt that they are the beneficial owners, individuals representing the company's senior management will be recognized as its beneficial owners
The requirement for companies to create and maintain a register of beneficial owners, as well as to update the information contained therein, was introduced in Ireland on 15 November 2016.
